Most Singapore-incorporated companies must prepare financial statements. ACRA identifies an exception for dormant relevant companies that meet specific conditions. Preparing statements, having them audited and filing them with ACRA are separate questions; the answer for your company depends on its facts.

Financial statements report a company’s financial performance and position for a financial year. Directors are responsible for presenting statements that comply with the prescribed accounting standards and give a true and fair view. They remain responsible even when a service provider helps prepare them.

PREPARE, AUDIT, FILE

An audit is a separate requirement. ACRA says an audit-exempt company can present unaudited financial statements. The exemption criteria require a company-specific check.
Some companies are exempt from filing their statements with ACRA. If filing is required, the format and attachments depend on the company’s type and circumstances.

THE TAX CONNECTION
The accounting result in the statements is a starting point for the company’s tax computation, which explains tax adjustments before the corporate income tax return is prepared. IRAS says companies filing Form C-S or Form C-S (Lite) prepare their statements and computation and retain them for request; Form C has different attachment requirements.
